Board administrators have unique duties – we help achieve them

There are rules and regulations in place that require The Board Administrators to maintain certain records for several purposes, including:

  • accurate recollection of decisions;
  • determination of eligibility to vote;
  • continuity of policies and practices; and
  • accountability of directors and officers

The Board’s Administrator is responsible for ensuring that accurate and sufficient documentation exists to meet legal requirements, and to enable authorized persons to determine when, how, and by whom the board’s business was conducted.

In order to fulfill these responsibilities, The Aprio Boardroom facilitates the collection and retention of vital documents and data. This includes, but is not limited to:

  • Minutes of meetings, including accuracy, and availability to Directors,
  • Proposals of policies and practices,
  • Maintenance of membership records.

Here are some specific duties aided by The Aprio Boardroom

  • Minutes
    • Aprio’s web-based solution helps saving and distributing accurate minutes of meetings. This record keeping includes:
      • date, time, location of meeting;
      • list of those present and absent;
      • list of items discussed;
      • list of reports presented;
      • text of motions presented and description of their disposition
  • Membership Records & Director’s Manual
    • The Aprio Boardroom ensures that official records are maintained of (and for) the Board. It makes certain that these records are available when required for reports, elections, referenda, other votes, etc. It also is the perfect repository for the Manual for the Directors to use and refer to, as they deem necessary.
  • Links to Legislation
    • Local, provincial and national regulations and legislation govern the functions of the Board. The Aprio Boardroom features direct links to the appropriate, and current, legislations.
  • Strategic Plan
    • There is a very old and valuable expression: “Plan the work and work the plan.” The Aprio Boardroom allows you to carefully and methodically create a strategic plan for the Board and carry out all elements of that plan in an appropriate, timely and accurate manner.
  • Score Card
    • One challenge Boards face is spending too much time focused on compliance issues, and not enough time monitoring, guiding, and evaluating the enterprise’s strategy and its senior executive team. The Aprio Boardroom feature “Balanced Scorecard” enables the Board to:
      • Approve and monitor enterprise strategy
      • Approve major financial decisions
      • Select and evaluate executives
      • Counsel and support the CEO
      • Ensure compliance

While one or two of the features listed here may be the most crucial to your Board’s effectiveness, it is the combined strength of the benefits The Aprio Boardroom delivers through its Resource Management that truly makes the greatest difference.
